Welcome to Phonesol. These Terms & Conditions (“Terms”) govern your access to and use of the Phonesol platform, website, applications, and related services (“Services”).
By accessing or using Phonesol, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. About Phonesol
Phonesol is an all-in-one software platform designed for cellphone retail stores, repair shops, wholesalers, refurbishers, and related businesses. The platform may include features such as:

2. Eligibility
You may use Phonesol only if:

- You have authority to enter into agreements on behalf of your business
- Your use of the Services complies with applicable laws and regulations
You are responsible for ensuring that your use of Phonesol complies with the laws of your country or region.
3. Accounts & Access
3.1 Account Registration
To use certain Services, you must create an account and provide accurate business and contact information.
You agree to:

- Notify Phonesol immediately of unauthorized access or security breaches
You are fully responsible for all activity under your account.
3.2 User Access

The account owner is responsible for:

- Staff activity

- Account security within their organization
Phonesol is not responsible for misuse caused by your employees, contractors, or authorized users.
4. Subscription Plans & Billing
4.1 Subscription Plans
Phonesol offers subscription-based pricing plans which may include monthly or annual billing.
Plan details, limits, features, and pricing are listed on the Phonesol website and may be updated from time to time.
4.2 Free Trials
Phonesol may offer free trials or promotional access periods.
At the end of a trial period:
- Your access may be limited or suspended until payment is made
- Trial data may be removed after a reasonable retention period
Phonesol may modify or terminate trial offers at any time.
4.3 Billing & Payments
You authorize Phonesol and its payment providers to charge your selected payment method for:
- Subscription fees
- Add-ons
- Usage overages
- Taxes where applicable
Payments are generally non-refundable unless otherwise required by law.
Failure to pay invoices may result in:
- Restricted access
- Suspension of Services
- Account termination
- Permanent deletion of data after a retention period

5. Acceptable Use Policy

Phonesol may act as a data processor while you remain the data controller for your customer data.
8. Compliance Features
Phonesol may provide compliance-related features for certain countries or regions, including invoicing, tax, or reporting tools.
However:
- Phonesol does not provide legal or tax advice
- You remain responsible for verifying compliance with local laws
- Government regulations may change without notice
- You are responsible for configuring settings correctly
Use of compliance tools does not guarantee legal compliance.

Phonesol may integrate with third-party providers such as:

Phonesol does not guarantee accuracy of AI-generated results.
11. Service Availability
Phonesol aims to provide reliable uptime and service availability.
However, Services may occasionally be unavailable due to:
- Maintenance
- Infrastructure failures
- Internet disruptions
- Security incidents
- Third-party outages
- Force majeure events
Phonesol does not guarantee uninterrupted or error-free operation.
12. Intellectual Property
All Phonesol software, branding, content, designs, code, interfaces, trademarks, and documentation remain the exclusive property of Phonesol and its licensors.
You may not:
- Copy or reproduce the platform
- Resell the software without authorization
- Remove copyright notices
- Create derivative works based on Phonesol
- Use Phonesol branding without written permission
13. Feedback & Suggestions

14. Data Export & Account Termination

Cancellation does not automatically entitle you to refunds.

- Recovery after deletion may not be possible

14.3 Suspension & Termination by Phonesol

- Create security risks
- Fail to pay invoices
- Misuse infrastructure or Services
15. Limitation of Liability
To the maximum extent permitted by law:
Phonesol shall not be liable for:
- Loss of profits
- Business interruption
- Data loss
- Indirect or consequential damages
- Tax penalties
- Regulatory penalties
- Customer disputes
- Loss caused by third-party services
Phonesol’s total liability shall not exceed the amount paid by you to Phonesol during the previous 12 months.
16. Indemnification
You agree to indemnify and hold harmless Phonesol, its owners, employees, contractors, and affiliates from claims, damages, liabilities, and expenses arising from:
- Your use of the Services
- Violation of these Terms
- Violation of laws or regulations
- Customer disputes
- Intellectual property violations
- Misuse of the platform
17. Confidentiality
Both parties agree to protect confidential business information disclosed during use of the Services.
Confidential information does not include information that:
- Is publicly available
- Was already known before disclosure
- Is independently developed
- Must be disclosed by law
18. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable to the legal entity operating Phonesol.
Any disputes shall be resolved through the competent courts of the applicable jurisdiction unless otherwise required by law.

Any failure by Phonesol to enforce a provision of these Terms shall not constitute a waiver of that provision.
